These Terms of Service ("Terms") form a binding agreement between you and Fusin ("Fusin," "we," "us," or "our") governing your access to and use of fusin.ai, our web applications, APIs, image-processing tools, credits, human-review services, and related products and services (collectively, the "Services").
By creating an account, purchasing or using credits or a subscription, uploading content, clicking to accept these Terms, or otherwise using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Services.
If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization.
You must be at least 18 years old or the age of majority where you live, whichever is higher, and legally capable of entering into this agreement. The Services are designed primarily for business and professional use, including real-estate photography, media, editing, and related workflows.
You may not use the Services if applicable law prohibits you from doing so.
You must provide accurate account information and keep it current. You are responsible for all activity under your account and for maintaining the confidentiality of passwords, authentication methods, API credentials, and other access credentials.
You may not share credentials in a manner that bypasses plan limits, seat restrictions, or security controls. Notify Fusin promptly at support@fusin.ai if you suspect unauthorized access or compromise.
Fusin provides automated and, in some workflows, human-assisted tools for processing and editing images. Features may include HDR-related processing, color and tone enhancement, window and sky workflows, perspective correction, masking, object or region editing, denoising, quality control, revisions, storage, previews, watermarking, and delivery.
Features may be added, removed, changed, limited, tested, or discontinued. Some features may be identified as beta, preview, experimental, or coming soon.
The Services use automated systems that can produce imperfect results. Outputs may contain editing errors, missed regions, artifacts, differences from a requested style, or other inaccuracies. Human review may reduce but does not eliminate these risks.
You are responsible for reviewing outputs before publishing, delivering, advertising, selling, or otherwise relying on them. Fusin does not guarantee that an output will satisfy professional, legal, brokerage, MLS, advertising, architectural, or client-specific standards.
You must not rely on Fusin to determine whether an image edit is legally permissible, factually representative, or compliant with disclosure requirements. You remain responsible for the final use of each output.
"Customer Content" means photos, RAW files, metadata, text, revision instructions, masks, files, and other materials you submit to the Services, as well as content you direct Fusin to process.
As between you and Fusin, you retain ownership of your Customer Content. You grant Fusin and its affiliates, contractors, and service providers a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify, process, transmit, display, create technical derivatives of, and otherwise use Customer Content as reasonably necessary to provide, secure, support, maintain, develop, and improve the Services and as otherwise described in these Terms and the Privacy Policy.
You represent and warrant that you own or control all rights necessary to submit Customer Content and grant this license, and that our processing of Customer Content as instructed by you will not violate law, contract, privacy, publicity, confidentiality, intellectual-property, property, or other rights.
Unless your plan, written agreement, or enterprise terms say otherwise, you authorise Fusin to use Customer Content and outputs to develop, train, fine-tune, test, evaluate, validate, and improve Fusin's models, systems, and Services, and to create technical derivatives and derived information for those purposes.
This may include review by authorised people. Where applicable law requires consent, an opt-out, or another mechanism, Fusin will provide it.
Fusin may use aggregated, de-identified, or anonymised information that does not reasonably identify you or another individual for analytics, research, benchmarking, product development, partnerships, and other lawful business purposes.
Deleting content, closing your account, or changing your settings stops future use for these purposes. Improvements already made to a model are part of that model and are not reversible, so the rights granted here continue for content already used in that way, and for anything already derived from it. This does not give Fusin the right to publish your photographs.
Fusin may show examples of work produced through the Services — for instance before-and-after comparisons — to demonstrate what the Services do. Tell us at support@fusin.ai and we will leave your account out of it.
"Output" means an image, mask, file, or other result generated or delivered by the Services based on your Customer Content.
As between you and Fusin, and subject to your rights in the underlying Customer Content, Fusin assigns to you any rights Fusin may have in your Output upon full payment of applicable charges. This does not transfer rights in Fusin software, models, workflows, interfaces, tools, documentation, or other Fusin technology.
Because automated systems may generate similar edits for different users, Fusin does not guarantee that an Output is unique. You are responsible for determining whether you have sufficient rights to use or distribute an Output for your intended purpose.
Our Privacy Policy explains how we handle personal information. By using the Services, you acknowledge the data practices described there.
If Customer Content contains personal information about another person, you are responsible for providing any required notices and obtaining any required rights, permissions, consents, or other lawful basis to collect, upload, disclose, and process that information through Fusin.
You may not use the Services to:
violate applicable law, regulation, court order, or third-party rights;
upload or process content you do not have the right to use;
infringe intellectual-property, privacy, publicity, confidentiality, or contractual rights;
distribute malware, malicious code, phishing content, or harmful automated traffic;
probe, scan, disrupt, overload, interfere with, or attempt unauthorized access to the Services or related systems;
reverse engineer, decompile, extract, copy, or attempt to discover source code, model weights, non-public algorithms, security mechanisms, or proprietary training data except where a restriction is prohibited by law;
scrape, crawl, benchmark, or systematically extract content or service behavior for the purpose of building or improving a competing model or service without our written permission;
circumvent rate limits, credit requirements, paywalls, watermarks, access controls, account restrictions, or technical protections;
misrepresent outputs as unedited photographs where doing so would violate applicable law, professional rules, platform rules, or client requirements; or
use the Services in a way that creates material security, legal, operational, or reputational risk to Fusin or others.
We may investigate suspected violations and suspend or terminate access where reasonably necessary.
You are responsible for your relationship with property owners, occupants, agents, brokerages, photographers, editors, and clients. You must obtain any permissions required to photograph, upload, edit, store, or distribute property images and associated information.
Fusin is not a party to your agreement with your clients and is not responsible for client approvals, real-estate disclosure obligations, MLS rules, advertising standards, or whether an edit materially changes the appearance of a property.
Certain Services require prepaid credits, a subscription, usage-based charges, or another paid plan.
Credits. Credits are a limited contractual right to use eligible Services. Credits have no cash value, are not currency, and cannot be transferred or redeemed for cash except where required by law. The number of credits required for a feature may vary and will be shown in the Service or pricing information.
Credits do not expire. Credits in your balance — purchased, included with a plan, or granted free — remain available while your account is open and are not reset at the end of a billing period. Monthly credits are added to your balance rather than replacing it, and unused credits carry forward. If we ever change this, the change will apply only to credits granted after we tell you, and credits already in your balance will keep the terms they were granted under. Credits are forfeited only if the account is closed or terminated for breach of these Terms.
Subscriptions. Paid subscriptions renew automatically at the stated billing interval until cancelled, unless otherwise stated at purchase. You authorize Fusin or its payment provider to charge the applicable payment method for recurring fees, usage, taxes, and authorized purchases.
Cancellation. You may cancel a subscription through the available account controls. Cancellation generally takes effect at the end of the current paid billing period unless law requires otherwise. Except where required by law or expressly stated in a refund policy, fees and used credits are non-refundable.
Taxes. Prices may exclude applicable sales, value-added, goods and services, or similar taxes. You are responsible for taxes associated with your purchase except taxes imposed on Fusin's net income.
Price changes. We may change prices, credit costs, included usage, or plan features. For existing recurring subscriptions, we will provide notice of material pricing changes as required by law before they take effect.
Fusin may display watermarked, reduced-resolution, or otherwise restricted previews before a required credit or payment is applied. Unwatermarked or final-resolution files may be made available only after the applicable charge is successfully authorized and deducted.
You may not remove, bypass, conceal, defeat, or assist another person in defeating Fusin watermarks, preview restrictions, credit checks, or access controls.
Some plans or workflows may include human-in-the-loop editing, quality review, or revision services. Turnaround estimates, revision limits, eligibility, and included work may vary by plan or order.
Revision requests must be reasonable, related to the original order, and submitted within any stated revision window. Fusin may treat a request as a new order if it materially changes the original instructions or requires substantially different work.
Human review does not create a guarantee of perfection or transfer responsibility for final approval from you.
The Services may rely on or interoperate with third-party infrastructure, payment providers, authentication providers, cloud services, analytics tools, communications providers, integrations, and other services. Your use of a third-party service may also be governed by that provider's terms and privacy policy.
Fusin is not responsible for third-party products or services that are outside our reasonable control, although we remain responsible for our own obligations under applicable law.
Beta, preview, experimental, early-access, or similar features may be incomplete, changed, suspended, or discontinued at any time. They may be subject to additional limits and may produce less reliable results.
Unless Fusin states otherwise in writing, beta features are provided for evaluation and should not be relied on for critical production use.
Fusin and its licensors own the Services, including software, models, model weights, workflows, interfaces, designs, documentation, APIs, trademarks, logos, data structures, algorithms, and other technology, excluding Customer Content and rights assigned in Output under Section 8.
Subject to these Terms and payment of applicable fees, Fusin grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business or professional purposes during the applicable subscription or authorized usage period.
No rights are granted except as expressly stated in these Terms.
If you provide ideas, suggestions, feature requests, bug reports, examples, evaluations, or other feedback about the Services, you grant Fusin a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation to you. This does not give Fusin ownership of your Customer Content merely because it appears in feedback.
You may stop using the Services at any time. Fusin may suspend, limit, or terminate access if you materially breach these Terms, fail to pay amounts due, create a security or legal risk, misuse the Services, or if suspension is reasonably necessary to protect Fusin, our users, or third parties.
Where reasonable under the circumstances, we will provide notice and an opportunity to cure before termination for breach. Immediate suspension may be necessary for fraud, security incidents, unlawful activity, abuse, or urgent risk.
Sections that by their nature should survive termination will survive, including provisions concerning ownership, licenses already granted for lawful processing, payments owed, disclaimers, limitations of liability, indemnification, and disputes.
After account termination or expiration, access to Customer Content and Outputs may end. You are responsible for downloading files you wish to retain before access ends.
Fusin may delete or retain information in accordance with the Privacy Policy, legal obligations, backup schedules, fraud-prevention needs, and written enterprise agreements. We are not responsible for loss of Customer Content after the applicable retention or download period expires.
We aim to provide reliable Services but do not guarantee uninterrupted or error-free operation. Maintenance, capacity constraints, outages, third-party failures, internet conditions, model updates, security events, or other circumstances may affect availability or processing times.
We may establish or change reasonable usage limits, upload limits, concurrency limits, file requirements, rate limits, or technical restrictions to protect performance, security, and fair access.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, OUTPUTS, BETA FEATURES, AND HUMAN-ASSISTED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." FUSIN DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUALITY, AND QUIET ENJOYMENT.
FUSIN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS; THAT OUTPUTS WILL BE ACCURATE, UNIQUE, CLIENT-APPROVED, OR SUITABLE FOR A PARTICULAR LISTING OR PURPOSE; OR THAT DEFECTS WILL ALWAYS BE CORRECTED.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUSIN AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, CUSTOMER CONTENT, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUSIN'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FUSIN FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) CAD $100.
THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Fusin and its affiliates, directors, officers, employees, and contractors from third-party claims, damages, liabilities, losses, judgments, penalties, costs, and reasonable legal fees arising from or related to: (a) your Customer Content; (b) your use of the Services in violation of these Terms or law; (c) your infringement or violation of another person's rights; or (d) your relationship or dispute with a client, property owner, agent, brokerage, photographer, editor, or other third party.
This obligation does not apply to the extent a claim was caused by Fusin's own unlawful conduct.
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-law principles.
Before filing a formal claim, you and Fusin agree to make a reasonable good-faith effort to resolve the dispute informally. A party may send written notice describing the dispute and requested resolution. If the dispute is not resolved within 30 days after receipt of notice, either party may pursue available legal remedies.
Subject to any mandatory rights or venue rules that cannot be waived, the courts located in Edmonton, Alberta will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services.
You must comply with applicable export-control, sanctions, anti-corruption, and trade laws. You may not use the Services where prohibited by applicable law or provide access to a person or entity where doing so would cause Fusin to violate applicable restrictions.
You consent to receive agreements, notices, invoices, receipts, disclosures, and other communications electronically. Transactional and service communications may be necessary to operate your account and may not be optional while your account remains active.
Marketing communications will be sent only as permitted by applicable law, and you may unsubscribe using the method provided in the communication.
If you provide a mobile number and consent to receive text messages from Fusin, we may send you messages of the kinds you asked for: trial and sign-up links, account and order updates, security and billing notices, and replies from support. We do not send text messages to a number that has not consented to receive them.
Message frequency varies. Message and data rates may apply, and any charges come from your mobile carrier under your own plan, not from Fusin.
Reply STOP to any message to opt out, and we will stop sending messages to that number. Reply HELP for help, or contact us using the information in Section 31. You may also withdraw consent by contacting us.
Carriers are not liable for delayed or undelivered messages. Delivery depends on your carrier, your device, and your coverage, and Fusin cannot guarantee that any message will arrive.
How we handle a mobile number and the record of your consent is described in the SMS/Text Messaging section of our Privacy Policy.
We may update these Terms to reflect changes in the Services, law, security requirements, pricing structure, or business operations. We will post the updated Terms and change the "Last updated" date.
If a change materially affects your rights or obligations, we will provide additional notice where required by law. Your continued use of the Services after the effective date of updated Terms constitutes acceptance to the extent permitted by law. If you do not agree to an update, you must stop using the Services.
These Terms, the Privacy Policy, and any plan-specific, order-specific, enterprise, or other written terms incorporated by reference form the agreement between you and Fusin concerning the Services.
If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without Fusin's written consent, except as permitted by law. Fusin may assign these Terms in connection with a merger, reorganization, sale of assets, financing, or similar transaction.
Headings are for convenience only. The words "including" and "such as" mean "including without limitation." These Terms do not create a partnership, joint venture, employment, franchise, or agency relationship between you and Fusin.
